Kio Terms of Service

These Terms of Service (“Terms”) govern your use of Kio, a personal AI life assistant operated by Prosperous Power LLC (“Prosperous Power,” “we,” “us,” or “our”). Please read them carefully.

The Short Version

Our Promises to You

Before the legal sections, here's what you can count on from us:

These promises are part of these Terms. If anything below seems to contradict them, the promise wins.

1. Acceptance

By creating a Kio account or using the Kio app or website, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use Kio.

If you're using Kio on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old to use Kio, or the minimum age of digital consent in your region (whichever is higher). By using Kio, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Your Account

You're responsible for keeping your account credentials safe and for all activity that happens under your account. If you suspect unauthorized access, contact us at support@mykio.app immediately.

Authentication is provided through Apple, Google, or email-based sign-in. You agree to provide accurate information when creating your account and to keep it up to date.

4. Acceptable Use

You agree not to:

Violations can result in suspension or termination of your account, with or without notice depending on the severity of the violation.

5. Your Content

You own the content you create in Kio — your messages, notes, reminders, reflections, plans, and anything else you generate through the app.

You grant Prosperous Power a limited license to host, store, process, transmit, and display your content solely for the purpose of providing the service to you. We do not sell, rent, or license your content to third parties. We do not use your content to train AI models.

You're responsible for the content you provide to Kio. Don't submit content you don't have the right to use, and don't submit content that violates someone else's rights.

When you report a problem through the in-app feedback features, you allow us to use the information you provide to investigate the issue, improve the service, and respond to you.

6. Actions Kio Takes on Your Behalf

Kio can take actions on your behalf when you ask it to — setting reminders, creating calendar events, drafting emails, saving notes, and similar actions. You are responsible for reviewing anything Kio creates before it has real-world effect. Kio drafts emails to your Gmail Drafts folder rather than sending them automatically; you review and send from Gmail. Other actions land in your account immediately when you confirm them. We're not responsible for the consequences of actions you authorize.

Push notifications, reminders, and other time-sensitive features depend on your device and network being available. We don't guarantee delivery.

7. Third-Party Services and Integrations

Kio integrates with third-party services — for authentication, calendar, email, push notifications, AI processing, and other operational purposes. Your use of any third-party service through Kio is also subject to that third party's own terms and privacy policy. We don't control and aren't responsible for third-party services.

If a third-party service changes its terms, becomes unavailable, or stops permitting integrations, Kio's functionality that depends on that service may change or stop working without notice.

8. AI-Generated Content

Kio is an assistant, not an authority. AI can be wrong — it can produce inaccurate, incomplete, or fabricated information. Please review anything important before you act on it.

Do not rely on Kio for decisions that require professional judgment, including medical, legal, financial, or safety-critical decisions. Kio is not a substitute for a licensed professional.

9. Subscriptions and Pricing

Kio is currently free to use. We may introduce paid plans or paid features in the future, in which case the pricing, billing, and refund terms will be presented to you clearly before you agree to any charge.

10. Intellectual Property

The Kio app, website, brand, name, logo, design, code, and the prompts and systems that make the assistant work are owned by Prosperous Power. We grant you a limited, personal, non-transferable, non-exclusive license to use Kio for your personal use, subject to these Terms.

You may not copy, modify, distribute, sell, lease, or create derivative works of Kio or any part of it.

10a. Beta and Early-Access Features

We sometimes ship features in beta or early access. These features are clearly identified in the app and may change, break, or be removed without notice. Beta features are provided “as is” with no specific warranty of stability or availability. By using a beta feature, you accept that the feature is being actively developed and that data created through it may behave differently from data in stable features. We'll let you know in the app when something is in beta.

11. Termination

You can leave anytime. Delete your Kio account by emailing support@mykio.app with the subject line “Delete my account.” Before deletion, you can export your data on request. Your data leaves our systems within 30 days of deletion, except where we're required by law to retain limited records longer.

We may suspend or terminate your account only for specific reasons:

For any suspension or termination short of an immediate security or legal threat, we'll give you reasonable advance notice and an opportunity to address the issue.

If we ever discontinue Kio, in whole or in part, we'll give you at least 60 days advance notice and a window to export your data before the service ends. We won't disappear on you.

Some things keep applying after you leave — anything we still need to enforce these Terms or close out your account.

12. Disclaimers

Kio is provided “as is” and “as available.” To the fullest extent permitted by law, Prosperous Power disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted access.

We don't warrant that Kio will be error-free, that it will meet your requirements, or that any output will be accurate, complete, or reliable.

13. Limitation of Liability

To the fullest extent permitted by law, Prosperous Power and its officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunities, goodwill, or other intangible losses, arising out of or in connection with your use of Kio.

Our total aggregate liability for any claim arising out of or relating to these Terms or your use of Kio is limited to the greater of (a) one hundred US dollars ($100) or (b) the total amounts you paid us in the twelve months immediately preceding the claim.

Some jurisdictions don't allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply only to the fullest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Prosperous Power and its officers, directors, employees, and agents from third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) that arise specifically out of:

This is intentionally narrow. We're not asking you to indemnify us for routine use of the service or for things outside your control.

If we seek indemnification under this section, we will: (a) promptly notify you of the claim, (b) give you reasonable control of the defense and settlement, provided no settlement admits fault on our behalf or imposes non-monetary obligations on us without our consent, and (c) reasonably cooperate at your expense.

15. Dispute Resolution and Arbitration

Please read this section carefully — it affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Kio will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in the U.S. county where you live, by phone, by video, or by written submission at your election — or in another location if you and we agree. We will pay arbitration filing, administrative, and arbitrator fees to the extent they exceed the cost of filing the same claim in your local state or federal court.

You and Prosperous Power agree to bring any dispute on an individual basis only. You waive the right to participate in any class action, collective action, or representative proceeding. The arbitrator may not consolidate claims of more than one person without the consent of all parties.

You and Prosperous Power keep the right to bring an individual claim in small-claims court instead of arbitration, as long as the claim qualifies under that court's rules.

Your right to opt out of arbitration

You can opt out of this arbitration agreement. If you don't want to be bound by it, send us a written opt-out notice within 30 days of first agreeing to these Terms (or, if these Terms are updated to add or change arbitration provisions, within 30 days of those updates taking effect).

If you opt out, the rest of these Terms still apply, and any disputes will be resolved in the courts described in Section 16. Opting out won't affect your account or your use of Kio in any way. We won't penalize you for it.

If any portion of this section is found unenforceable, the rest remains in effect, and any unenforceable claim will be brought in the courts described in the Governing Law section below.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any claim not subject to arbitration will be brought exclusively in the state or federal courts located in Delaware, and you and Prosperous Power consent to personal jurisdiction in those courts.

17. Changes to These Terms

We can update these Terms from time to time. If we make material changes, we'll let you know — by email, in-app notice, or both — before they take effect. Your continued use of Kio after the changes take effect means you accept the updated Terms. If you don't agree, your option is to stop using Kio and delete your account.

These Terms supersede all prior terms of service for Kio, including any terms that named “Jonathan Hsieh, d/b/a Prosperous Power” as the operator. Prosperous Power LLC is the successor-in-interest and assumes all obligations under prior terms.

18. Miscellaneous

Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and Prosperous Power regarding Kio.

Severability. If any provision of these Terms is found unenforceable, the rest remains in effect.

No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.

Assignment.You can't assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure.We aren't liable for any failure or delay in performance caused by circumstances beyond our reasonable control.
