Kio Terms of Service

Welcome to Kio — a personal AI life assistant made by Prosperous Power(Jonathan Hsieh, d/b/a Prosperous Power). These Terms of Service (the “Terms”) are the agreement between you and us when you use Kio. We've written them in plain English because you deserve to actually understand what you're agreeing to.
For how we handle your data, see our Privacy Policy. It's the companion document to these Terms.
The Short Version
- You use Kio at your own risk — it's a helpful assistant, not an authority.
- AI makes mistakes. Review anything important before sending, saving, or acting on it.
- Don't abuse the service — no illegal activity, scraping, spamming, or trying to break things.
- Your content is yours. We don't sell it and we don't use it to train AI models.
- We can update these Terms. You can delete your account anytime.
Acceptance
By creating a Kio account or using the Kio app or website, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use Kio.
If you're using Kio on behalf of an organization, you represent that you have the authority to bind that organization to these Terms — and “you” in that case means both you and the organization.
Eligibility
You must be at least 13 years old to use Kio, or the minimum digital consent age in your region (whichever is higher). In parts of the EU, for example, that age may be 14, 15, or 16.
By using Kio, you represent that you meet this age requirement and that you have the legal capacity to enter into these Terms.
Your Account
You're responsible for keeping your account credentials safe and for all activity that happens under your account. If you think someone else has accessed your account, email us at jonathan@prosperouspower.com right away.
Kio uses Sign in with Apple or Sign in with Googlefor authentication. Your use of those sign-in methods is also subject to Apple's and Google's own terms, which you should review.
Acceptable Use
When you use Kio, you agree not to:
- Use Kio for illegal activity or to violate anyone else's rights
- Reverse engineer, decompile, scrape, or attempt to extract the app, its prompts, or its underlying systems
- Attempt to access, extract, or interfere with other users' accounts or data
- Use Kio or connected Gmail access to send spam, phishing, harassment, or other abuse
- Bypass or attempt to bypass rate limits, authentication, or other security measures
- Abuse the feedback or support channels (for example, by sending automated or malicious submissions)
- Use Kio to generate content that exploits minors, incites violence, or otherwise violates applicable laws
Violations can result in suspension or termination of your account — with or without notice, depending on the severity.
Your Content
You own the content you create in Kio — your chat messages, memory facts, notes, reminders, reflections, plan cards, and anything else you generate through the app.
To actually run the service for you, you grant Prosperous Power a worldwide, non-exclusive, royalty-free license to store, process, transmit, and display your content solely for the purpose of providing Kio to you. That license ends when you delete your content or your account (subject to the retention schedule in our Privacy Policy).
We do not sell, rent, or license your content to third parties. We do not use your content to train AI models. See the Privacy Policy for exactly what we collect and how we handle it.
You're responsible for the content you put into Kio. Make sure you have the right to share it, and don't upload anything that violates someone else's rights.
Third-Party Services and Integrations
Kio connects with services we don't own or control, including:
- Google — Gmail and Calendar integrations
- Apple — Sign in with Apple
- Google AI Studio and OpenRouter — AI model providers
Your use of any third-party service through Kio is also subject to that third party's own terms and privacy policy. Prosperous Power isn't responsible for outages, changes, or policy updates in third-party services, and we can't guarantee any particular integration will keep working if a provider changes their API or access rules.
AI-Generated Content Disclaimer
Kio is an assistant, not an authority. AI can be wrong — please review anything important before you act on it.
Kio uses large language models to generate responses, drafts, and suggestions. AI-generated content can be inaccurate, incomplete, or fabricated (including confidently-stated facts that aren't true). That's a known property of how these systems work today — not a bug specific to Kio.
Because of this, you should not rely on Kio's output for:
- Medical advice or health decisions
- Legal advice or contractual decisions
- Financial, investment, or tax decisions
- Safety-critical situations (emergencies, crisis response, etc.)
For any of those, talk to a qualified professional.
When Kio drafts emails, proposes calendar events, or suggests any action on your behalf, you are responsible for reviewing and confirming before sending or committing. Kio will ask for confirmation on outbound actions, but the final decision — and the consequences — are yours.
Subscriptions and Pricing
Kio is currently free to use. In the future, we may introduce paid plans or paid features. If we do, any paid features will require a separate agreement and will be clearly disclosed — including pricing, billing frequency, and cancellation terms — before you are charged anything.
Intellectual Property
The Kio app, website, brand, logo, design, code, and the prompts that make the assistant work are all owned by Prosperous Power and are protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, personal, non-transferable, non-exclusive, revocable license to use Kio for your own personal use, consistent with these Terms. That license doesn't include the right to copy, modify, redistribute, resell, sublicense, or publicly display any part of the app or its materials without our written permission.
Termination
You can delete your Kio account anytime — from inside the app (Settings → Account → Delete Account), or by emailing us at jonathan@prosperouspower.com with the subject line “Delete my account.”
We can suspend or terminate accounts that violate these Terms, with or without notice, depending on the severity. We may also discontinue all or part of the service with reasonable notice.
When your account ends — for any reason — your data is handled according to the retention schedule in our Privacy Policy. Sections of these Terms that are meant to survive termination (like intellectual property, disclaimers, limitation of liability, and dispute resolution) will continue to apply.
Disclaimers
Kio is provided “as is” and “as available.” We don't promise it'll be uninterrupted, error-free, or that any particular feature will always work. Use it at your own risk.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPEROUS POWER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY. WE DO NOT WARRANT THAT KIO WILL MEET YOUR REQUIREMENTS OR THAT ITS OUTPUT WILL BE ACCURATE OR RELIABLE.
Limitation of Liability
To the maximum extent permitted by law, Prosperous Power (and its owners, employees, and contractors) will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of Kio — including lost profits, lost data, missed opportunities, or damage to reputation — even if we've been advised such damages are possible.
Our total aggregate liability to you for any claim arising out of or related to Kio is capped at the greater of (a) $100 USD, or (b) the total amount you paid to Prosperous Power for Kio in the 12 months before the claim.
Some jurisdictions don't allow the exclusion or limitation of certain damages, so some of these limits may not apply to you. In that case, our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless Prosperous Power (and its owners, employees, and contractors) from any third-party claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your violation of these Terms
- Your misuse of Kio
- Your violation of any law or the rights of any third party
- The content you create or submit through Kio
We'll let you know promptly if we become aware of any such claim, and we can participate in the defense at our own expense.
Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.
Any dispute, claim, or controversy arising out of or related to these Terms or your use of Kio will be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.
If any part of these Terms is found unenforceable, the rest remains in effect.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we'll update the “Last updated” date at the top and notify you in the app before the changes take effect. Minor edits (typos, clarifications) may be made without notice.
Continued use of Kio after an update means you accept the updated Terms. If you don't agree, you can delete your account.
